1. Introduction

Welcome to Ubitech Solutions Pvt. Ltd. ("Ubitech," "we," "our," or "us"). These Terms & Conditions ("Terms") govern all services, proposals, and deliverables offered by Ubitech. By engaging with us—whether by accepting a quotation, making a payment, or providing verbal/email confirmation—you agree to comply with and be bound by these Terms.

2. Estimates & Project Scope

  • All estimates/quotes are based on our understanding of your requirements and the agreed project timeframe.
  • Any changes to functionality, including minor enhancements or modifications beyond the agreed scope, may incur additional costs.
  • We strongly recommend a clarification meeting to ensure that our understanding of your requirements is correct and complete.

3. Client Responsibilities

  • It is the client's responsibility to ensure that all requirements are included in the proposal or estimate and that we have a clear understanding of your expectations.
  • Clients must provide comprehensive guidelines, workflows, and content (text, images, logos, etc.) within two weeks of project initiation.
  • If such details are not provided, we will proceed based on our understanding, and any subsequent discrepancies may result in additional charges.
  • Delays on the client's end (e.g., approvals, feedback, or content submission) may extend timelines and lead to additional costs.

4. Design & Development

  • Bug fixes (programming errors) reported during or immediately after development are free of charge.
  • Rework on approved tasks or design changes requested after approval will attract additional charges.
  • Any post Go-Live modifications or enhancements will be considered new requests and billed separately.
  • Ubitech will not be responsible for delays caused by changes in the project brief once development has commenced.

5. Third-Party Components

  • Certain functionalities may involve third-party tools such as Payment Gateways, SSL certificates, APIs, or Plug-ins.
  • While Ubitech makes every effort to select reliable third-party services, we cannot be held liable for their limitations or performance issues.
  • Costs for third-party components (e.g., SSL, Google Ads, Plugin Licenses) are not included in standard quotes unless explicitly mentioned.

6. Pricing & Payments

  • All prices are quoted in INR/USD and are exclusive of GST unless stated otherwise.
  • Payments must be made as per the invoice schedule or proposal terms.
  • Any payment for domain registration, renewal, hosting, or third-party services is non-refundable.
  • Advance payment is required for once-off or minor tasks unless agreed otherwise.
  • Delayed payments may result in service interruptions or late fees.

7. Cancellations & Refunds

  • If a project is canceled before work begins, 75% of the payment will be refunded.
  • If canceled after commencement, a maximum refund of 50% will apply (based on work completed).
  • No refunds or adjustments will be made once 50% or more of the project work is complete.
  • All cancellations must be submitted in writing via email or letter. Verbal or telephonic requests will not be accepted.

8. Project Timelines

  • Project schedules are based on the assumption of timely client approvals and content delivery.
  • Delays caused by the client may extend delivery dates and lead to additional charges.

9. Renewals & Termination

  • All domain/hosting renewals must be paid at least 7 working days prior to expiration.
  • Failure to pay on time may result in service disruptions, for which Ubitech is not liable.
  • Clients must inform us in writing at least 30 days prior to renewal dates if they wish to cancel auto-renewals.

10. Communication

  • All official communication and approvals will be conducted via email.
  • Clients are responsible for keeping their contact information up-to-date.

11. Liability

  • Ubitech shall not be liable for delays, downtime, or losses caused by third-party services or circumstances beyond our control.
  • Our liability is limited strictly to the scope of the services provided.

12. Press Releases & Information

  • Any official updates or press releases regarding Ubitech will be published on our official website or communication channels.
  • We are not responsible for information shared by third parties or unverified sources.

13. Acceptance of Terms

Receipt of payment for a quote, milestone, or project is deemed as acceptance of the deliverables and these Terms & Conditions.
